Terms of Use & Supply

These Terms govern your use of our website and the supply of disposable plastic products and related services by Ricegrcxsm Medical Plastics (“we”, “our”, “us”). By accessing our site or placing an order, you agree to these Terms.

1. Website use

The content on this site is provided for general information. While we aim for accuracy, specifications may change without notice. Do not rely on this site as the sole source for regulatory decisions. We may suspend or modify the site at any time.

2. Quotations and orders

Quotations are valid for the period stated or, if unspecified, 30 days from issue. An order is accepted when we provide written confirmation or begin performance. We reserve the right to decline orders at our discretion.

3. Prices and payment

Prices are exclusive of taxes, duties, shipping, tooling, validation, and packaging unless expressly included. Payment terms are as agreed in writing. Late payments may accrue interest and result in shipment holds.

4. Specifications and approvals

You are responsible for providing accurate drawings, bills of materials, and special requirements. First articles and validation plans (IQ/OQ/PQ) must be reviewed and approved by you before serial production. Any subsequent changes may affect price, lead time, and tooling.

5. Tooling and intellectual property

Unless otherwise agreed, tooling created for your parts is charged separately. Title to tooling will follow the terms stated in our quotation; however, we retain a lien until full payment. Each party retains ownership of its background IP. Drawings, models, and samples you provide remain yours; you grant us a limited licence to use them solely to perform the contract.

6. Quality and regulatory

We maintain a quality management system aligned to ISO 13485 practices. We provide lot traceability and agreed documentation (e.g., certificates, inspection reports). You remain responsible for determining fitness for your intended use and for any required regulatory submissions. We are not the legal manufacturer of your final medical device.

7. Delivery and risk

Delivery terms are as stated in the quotation (e.g., EXW, FCA). Risk in goods passes upon delivery under the agreed Incoterms. Delivery dates are estimates; we will make reasonable efforts to meet them. Partial shipments may occur.

8. Warranty

We warrant that products will materially conform to the mutually agreed specifications at the time of shipment. Your exclusive remedy for non‑conforming goods is repair, replacement, or credit at our option, provided you notify us within a commercially reasonable period and return the items if requested.

9. Limitations of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits or business interruption. Our aggregate liability related to an order shall not exceed the amounts you paid for the specific products or services giving rise to the claim.

10. Indemnity

You agree to indemnify and hold us harmless from claims arising out of designs, materials, or instructions you supply, including alleged infringement, product misuse, or integration within your device.

11. Force majeure

We are not responsible for delays or failures due to events beyond our reasonable control, including shortages, machine breakdowns, epidemics, natural disasters, or acts of government. In such cases, schedules may be adjusted.

12. Compliance

Each party shall comply with applicable laws and regulations, including PDPA, export controls, and anti‑bribery rules. You are responsible for ensuring that products are used in accordance with your regulatory authorisations and risk management files.

13. Governing law

These Terms are governed by the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction, without prejudice to either party’s right to seek urgent injunctive relief.
